To facilitate Services you request, information you provide may be transmitted to the Medical Groups, Providers, pharmacies, laboratories, and service providers involved in your care, fulfillment, payment, or support, as described in the applicable privacy policies and Notice of Privacy Practices.

We may revise these Terms from time to time. Changes become effective when posted to the Website unless applicable law requires additional notice or another effective date. Your continued use of the Website or Services after revised Terms become effective constitutes your acceptance of them. Please review this page periodically.

Information available on or through the Website is for general informational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment.

Always consult a qualified healthcare provider regarding medical questions and before making healthcare decisions. Website content does not create a clinician-patient relationship. A clinician-patient relationship is established only through the applicable medical practice after its requirements are satisfied. Never disregard or delay professional advice because of information found on the Website.

Telehealth is not appropriate for every condition. A Provider may determine that you need an in-person examination, testing, emergency care, or another form of treatment that cannot be provided through the Services.

We do not promise that Website information will always be accurate, complete, useful, or current. Any reliance on Website materials is at your own risk. Individual results vary, and nothing on the Website is a promise or guarantee of a particular clinical, wellness, or other outcome.

By creating an account or using the Services, you consent to receive electronic communications relating to your account and the Services, including by email, text message, patient portal, or notices posted through the Website. Carrier message, data, or call charges may apply. You are responsible for keeping your contact information current.

We may also send promotional communications where permitted by law. You may opt out of promotional emails using the unsubscribe instructions in the message. Opting out of promotional messages does not stop transactional, safety, billing, or care-related communications.

You agree that electronic notices, disclosures, agreements, and other communications satisfy legal requirements that such communications be in writing. Selecting a button, checkbox, icon, or similar action intended to show agreement constitutes your electronic signature and has the same effect as a handwritten signature. You should retain copies of important electronic communications and agreements.

We may modify, suspend, withdraw, or discontinue any part of the Website or Services at any time. Website materials may become out of date, and we do not undertake a general obligation to update every item of content.

The Website and its content, features, and functionality are owned by Peptide12 or its licensors and are protected by applicable copyright, trademark, patent, trade-secret, and other intellectual-property laws. No ownership right is transferred to you. All rights not expressly granted are reserved.

You may use the Website only for personal, non-commercial purposes in accordance with these Terms. Any use not expressly permitted may violate these Terms or applicable law.

The Peptide12 name, logo, product names, designs, and slogans are trademarks of Peptide12 or its licensors. You may not use them without prior written permission. Other marks appearing on the Website belong to their respective owners.

You agree to use the Website and Services only for lawful, personal, and non-commercial purposes. You may not:

• copy, distribute, modify, publicly display, republish, download, store, transmit, scrape, or reverse-engineer Website materials except as expressly permitted by these Terms;
• impersonate Peptide12, a clinician, an employee, another user, or any other person or organization;
• use the Website in a way that could disable, overburden, damage, or impair it or interfere with another person's use;
• use automated tools to monitor, access, or copy Website materials without our prior written permission;
• introduce malicious code or attempt unauthorized access to any Website, server, computer, account, or database; or
• use the Website, Services, medication, or information obtained from them in violation of law or these Terms.

If you violate these Terms, your right to use the Website and Services may stop immediately. At our request, you must return or destroy any copies of Website materials you made in violation of these Terms.

You must be at least 18 years old, reside in the United States where the requested Services are available, and be legally able to enter into a binding agreement. Particular programs may have additional age, location, or clinical eligibility requirements.

You agree to provide complete and accurate information, including your identity, contact information, medications, allergies, and medical history, and to update that information when it changes. You are responsible for keeping account credentials confidential and for activity occurring through your account. Medication prescribed to you is for your use only and may not be shared, resold, or transferred.

Completing an intake or submitting payment does not guarantee a prescription or treatment. A licensed clinician may decline, delay, pause, or modify a treatment plan based on independent professional judgment.

The Services may facilitate prescriptions ordered by your treating clinician. When appropriate, prescriptions may be sent to a partner pharmacy or another pharmacy permitted by the applicable program and law. You authorize your clinician, the applicable medical practice, and the technology supporting the Services to transmit prescription information to pharmacies for dispensing and delivery. All prescriptions remain subject to the treating clinician's independent professional judgment.

• Pharmacy transfers: A prescription may be transferred between pharmacies for fulfillment, availability, pricing, or operational reasons when allowed by law.
• Shipping: Delivery dates are estimates and may be affected by pharmacy processing, verification, carriers, weather, holidays, and other circumstances outside our control.
• Temperature-sensitive products: You are responsible for receiving deliveries promptly and following all storage and handling instructions.
• Packaging: When permitted, some medication may be delivered in packaging that is not child-resistant. Keep all medication secured and out of the reach of children and pets.

Contact your care team or another qualified healthcare professional with questions about your health, medication, side effects, storage, or treatment.

Peptide12 does not compound, manufacture, dispense, or ship medication and does not control pharmacy operations. The pharmacy selected for an individual prescription may depend on the medication, patient location, licensure, and availability. Our pharmacy partners include:

Currently offering services in all 50 states plus Washington D.C. Some services may not be available in all 50 states or Washington D.C. Subject to change.

Availability may depend on the specific service or medication, clinician licensure, patient eligibility, pharmacy coverage, and state-specific requirements. Some states may require a live video consultation before an initial prescription may be issued.

Certain medications offered through the Services may be compounded by a licensed compounding pharmacy pursuant to an individualized prescription. Compounded drug products are not approved by the U.S. Food and Drug Administration. The FDA does not evaluate compounded products for safety, effectiveness, or quality before they are marketed. A compounded preparation is not a generic equivalent of or substitute for a brand-name product.

By providing an accepted credit card or other payment method, you authorize the applicable OpenLoop entity, its affiliates, and/or third-party payment processors identified during checkout to retain and charge that payment method for the fees disclosed to you, including applicable taxes. The amount collected may include fees for Peptide12 membership services, professional services provided by the Medical Groups and Providers, prescribed medication and pharmacy fulfillment, laboratory services, and patient support, as applicable to the program you select. Services not included in the disclosed price may be billed separately.

Peptide12 does not store full payment-card numbers. If a payment method cannot be verified or a charge is unsuccessful, a purchase, membership, clinical service, or pharmacy fulfillment may be delayed, suspended, or cancelled. You remain responsible for amounts properly owed, authorize reasonable attempts to process those amounts as permitted by law, and agree to keep your payment and billing information current. A chargeback involving an amount properly owed may result in suspension of the Services and lawful collection efforts.

Unless expressly stated otherwise, Services are offered on a cash-pay basis and are not billed to insurance. We do not guarantee insurance, HSA, FSA, or other reimbursement. Any third-party payment or financing provider has separate terms and privacy practices.

If you enroll in a subscription or recurring program, you authorize recurring charges at the price and frequency disclosed at checkout or in your account until you cancel. Membership plans renew automatically. To avoid the next renewal charge, your cancellation request must be received at least 72 hours before your next billing date.

Prices and subscription terms may change prospectively. We will provide any notice of a material change or fee change, together with cancellation instructions, that is required by applicable law. A price change will not alter a billing period for which payment has already been completed.

You may cancel a Subscription Service at any time for any reason. Refund eligibility and the process for cancellation are governed by our Subscription Services Cancellation and Refund Policy, which is incorporated into these Terms. Except as stated in that policy or required by law, sales are final.

We may offer promotions, discounts, or sweepstakes. Additional eligibility requirements or official rules may apply and are incorporated into these Terms. If additional terms conflict with this section, the additional terms control for the applicable promotion.

We may suspend or terminate access to all or part of the Website or Services, with or without prior notice, when reasonably necessary to protect users, clinicians, pharmacies, Peptide12, or the Services; to comply with law; to address nonpayment; or in response to a violation of these Terms.

Provisions that by their nature should continue after termination will survive, including provisions addressing ownership, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

The Website may link to third-party websites, applications, services, pharmacies, laboratories, payment processors, or resources for convenience. Peptide12 does not control or endorse them and is not responsible for their content, availability, terms, privacy practices, or any loss arising from their use. Your use of third-party services is at your own risk and subject to their terms.

To the fullest extent permitted by law, the Website, Services, and Website content are provided "as is" and "as available." Your use is at your own risk. Peptide12 and its affiliates, licensors, service providers, officers, directors, employees, and agents disclaim all express, statutory, and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.

To the fullest extent permitted by law, Peptide12 and its affiliates, licensors, service providers, officers, directors, employees, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or connected with the Website, Services, linked websites, or Website content, under any legal theory, even if advised that such damages are possible.

Your sole remedy for dissatisfaction with the Website or its content is to stop using it. To the fullest extent permitted by law, Peptide12's total aggregate liability arising from the Website or Services will not exceed the greater of $100 or the amount you paid for the applicable Services during the 12 months before the event giving rise to the claim.

These limitations do not limit liability that cannot legally be limited. They also do not alter the professional obligations of an independently licensed clinician or medical practice providing clinical care under separate patient agreements.

To the extent permitted by law, any claim arising out of or relating to these Terms, the Website, or the non-clinical Services must be commenced within one year after the claim accrues. This limitation does not apply where applicable law prohibits shortening the time in which a particular claim may be brought.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Peptide12, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns from claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from your violation of these Terms, misuse of the Website or Services, unauthorized use of Website content, or violation of another person's rights.

These Terms and disputes relating to the Website or Services are governed by the laws of the State of California, without regard to conflict-of-law rules.

Before beginning formal proceedings, you and Peptide12 agree to give written notice of a dispute and attempt in good faith to resolve it informally for 30 days. Notices to Peptide12 may be sent to support@care.peptide12.com. If the dispute is not resolved, it will be decided through individual, binding arbitration conducted in English by one arbitrator and administered by JAMS under its Streamlined Arbitration Rules & Procedures, except where applicable law permits a claim to proceed in small-claims court.

Hearings will ordinarily occur by telephone or videoconference unless the arbitrator determines that an in-person hearing is appropriate. Any in-person hearing will take place in Alameda County, California, unless the parties agree otherwise or applicable law requires another location. Judgment on an award may be entered in any court with jurisdiction.

You and Peptide12 waive the right to a jury trial and agree that claims subject to arbitration may be brought only on an individual basis, not as a plaintiff or class member in a class, consolidated, coordinated, or representative action or arbitration.

Either party may seek injunctive or other equitable relief in court to protect intellectual-property rights or prevent unauthorized access to or misuse of the Services. Nothing in this section prevents either party from exercising a right that cannot lawfully be waived.

A failure by Peptide12 to enforce a provision of these Terms is not a waiver of that provision or any other right. If a provision is found invalid, illegal, or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain effective.

Peptide12 is based in the United States, and the Website and Services are intended for people located in the United States. Access from another country may not be lawful. If you access the Website from outside the United States, you do so on your own initiative and are responsible for complying with local law. Clinical and prescription Services are available only where lawfully offered.

These Terms, together with the policies and agreements incorporated by reference, constitute the entire agreement between you and Peptide12 concerning the Website and non-clinical Services and replace prior or contemporaneous understandings about them. Clinical care, telehealth consent, and patient-portal use may be governed by separate agreements with the applicable medical practice or technology provider.

If these Terms conflict with a more specific policy or agreement, the more specific document controls for the subject it addresses. The patient portal terms and Telehealth Informed Consent control matters relating to the portal and clinical care, and the Cancellation & Refund Policy controls cancellation and refund eligibility.

Related agreements and policies include the Privacy Policy, Cancellation & Refund Policy, Telehealth Informed Consent, and the patient portal Terms of Use.

You may not assign or transfer your account or rights under these Terms without our prior written consent. Peptide12 may assign these Terms to an affiliate or successor in connection with a merger, reorganization, financing, sale of assets, or similar transaction.

These Terms do not create an agency, employment, partnership, or joint venture between you and Peptide12, or authorize you to bind Peptide12. The Medical Groups, Providers, pharmacies, laboratories, and payment processors remain independent parties responsible for their respective services and legal obligations.
